Terms of Service

The Service is provided by Fertile Seed IT Solutions EST. ("Conseal", "we", "us"), an establishment licensed in Dubai under Trade Licence No. 1112101, [TODO: registered address], Dubai, United Arab Emirates. Contact: support@conseal.ae.

Conseal is an AI co-founder platform. A CEO agent and specialist agents hold meetings with you, propose and run tasks, and produce deliverables you review and approve.

The founder is always the author. Agents propose; you decide. Deliverables are drafts for your judgement, not decisions taken on your behalf.

• You must be at least 18 and legally able to enter contracts.
• One human per account. Credentials are not to be shared.
• You are responsible for everything that happens under your account and for keeping your password secure. Tell us immediately at support@conseal.ae if you suspect unauthorised access.
• Account information must be accurate and kept current.

Read this before relying on anything Conseal produces.

• Output is generated by AI models and can be wrong. It may contain factual errors, invented citations, outdated information, flawed reasoning or bad commercial judgement.
• Output is not professional advice. Nothing produced by the Service is legal, financial, tax, accounting, investment, regulatory, employment or medical advice. Consult a qualified professional before acting on anything material.
• You must verify before you act. Verifying accuracy, legality, suitability and compliance is your responsibility, not ours.
• Output is not unique. Similar prompts by other users may produce similar results. We do not warrant that output is original, novel or non-infringing, and we do not guarantee it can be trademarked, patented or registered.
• We do not warrant business outcomes. Nothing here promises revenue, funding, users, growth or success.
• Agent behaviour is not deterministic. The same input may produce different output at different times.

You use AI output at your own risk and remain solely responsible for decisions you take.

You own your inputs. Your company brief, instructions, uploads and reference material remain yours.

You own the outputs. As between you and us, you own the deliverables generated for you, to the extent such rights can be owned and subject to the rights of AI providers and any third-party material embedded in the output. You may use deliverables commercially.

Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, display, and transmit your content to our AI providers — solely to operate, secure and support the Service. This licence ends when you delete the content or your account, except for content already in backups pending rotation.

No training on your content. We do not use your content to train our own models, and we use our AI providers' business/API tiers rather than consumer tiers. The AI providers we use, and what is sent to each, are listed in section 6 of the Privacy Policy.

You are responsible for the content you put in and what you do with what comes out. You must not:

• upload content you have no right to upload, or that infringes third-party IP or confidentiality obligations
• enter personal data about others without a lawful basis, or sensitive personal data of any kind
• use the Service to generate anything unlawful, defamatory, deceptive, harassing, discriminatory or harmful — see the Acceptable Use Policy
• present AI output as professional advice to third parties without appropriate verification and disclosure
• resell, sublicense, white-label or provide the Service to third parties as a service without our written agreement
• reverse-engineer, decompile or attempt to extract our prompts, agent architecture or model configuration
• scrape or automate access outside any API we publish, or circumvent rate limits or credit metering
• use the Service to build a competing product

Plans. Current plans and prices are published at conseal.ae/pricing, denominated in AED. Prices there prevail over any figure quoted elsewhere.

Credits. Agent work consumes credits. Credits:

• are a unit of account for metered usage, not money, not a stored-value instrument and not redeemable for cash
• are consumed when work is performed — a completed run is charged even if you dislike the result
• are not charged where the platform fails to deliver — for example a truncated or malformed deliverable, which is retried once automatically at no charge and does not count as delivered
• expire per your plan terms and do not transfer between accounts
• included credits reset each billing period and do not roll over unless your plan says so

Top-ups. Additional credits may be purchased. Purchased top-up credits are held separately from your included monthly credits and are not reset by a renewal. Top-up credits are non-refundable once used.

Subscriptions. Billed in advance, renewing automatically until cancelled. Cancel any time before renewal, effective at the end of the current period. See the Refund & Cancellation Policy.

Failed payments. We may suspend access if payment fails and is not resolved after reasonable notice.

Price changes. We may change prices with at least 30 days' notice by email. Changes take effect at your next renewal. If you disagree, cancel before then.

Taxes. Prices exclude VAT unless stated. UAE VAT is applied where due.

The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation and we do not currently offer a contractual uptime SLA. We perform maintenance and will give advance notice for planned downtime where practical.

We may add, change or remove features. Where a change materially reduces core functionality on a paid plan, we will give reasonable notice and you may cancel and receive a pro-rata refund of the unused prepaid period.

Features marked beta, preview or experimental are provided without warranty and may change or be withdrawn at any time.

By you. Cancel your subscription at any time in Settings → Billing. To close and delete your account, email support@conseal.ae from your account email address. Export your Vault first — deletion is irreversible.

By us. We may suspend or terminate your account, with notice where practical, if you materially breach these Terms or the Acceptable Use Policy, fail to pay, or use the Service in a way that risks harm to us, other users or third parties. Serious breaches — unlawful use, security attacks, fraud — may be actioned immediately without notice.

On termination. Access ends. Your data is deleted or anonymised per the Privacy Policy. Sections 4, 5, 10, 11, 12, 14 and 15 survive.

The Service — its software, agent architecture, prompts, orchestration logic, interface, documentation, and the Conseal name and marks — is owned by us and our licensors. You receive a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. No other rights are granted.

We may use anonymised, aggregated usage statistics to operate and improve the Service. These never identify you or contain your business content.

To the fullest extent permitted by UAE law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that AI output will be accurate, complete, current, lawful, original or fit for any purpose.

To the fullest extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profit, revenue, business, data, goodwill, funding or anticipated savings.
• We are not liable for decisions you take, or fail to take, based on AI output.
• Our total aggregate liability arising out of or relating to the Service is capped at the greater of (a) the fees you paid us in the 12 months before the event giving rise to the claim, or (b) AED 500.

Nothing here excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded under UAE law.

You will indemnify and hold us harmless against third-party claims, losses, liabilities and reasonable legal costs arising from your content, your use of AI output, your breach of these Terms or the Acceptable Use Policy, or your violation of law or third-party rights.

We treat your business content as confidential and will not disclose it except to sub-processors under equivalent obligations, or where legally compelled. You will treat non-public information about the Service as confidential.

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction.

Before filing a claim, both parties will attempt in good faith to resolve the dispute by discussion for 30 days after written notice.

We may amend these Terms. Material changes will be notified by email at least 14 days before taking effect. Continued use afterwards constitutes acceptance. If you disagree, cancel before the effective date.

Entire agreement — these Terms, plus the Privacy Policy, Cookie Policy, Acceptable Use Policy and Refund & Cancellation Policy, form the whole agreement between us.
Severability — if a provision is unenforceable, the rest survives.
No waiver — not enforcing a right is not a waiver of it.
Assignment — you may not assign without our consent; we may assign on notice in a reorganisation or sale.
Force majeure — neither party is liable for failure caused by events beyond reasonable control, including provider outages, network failures and acts of government.
Notices — to you by email or in-app; to us at legal@conseal.ae.
Language — the English version prevails over any translation.
